Hymers College is an incorporated Charity, the full name of which is Hymers College Trustee Limited.
The information below gives an overview of the constitution, functions and purpose of the Hymers College governing body.
The Governing Body
The members of the Board of Governors are all Directors of Hymers College Trustee Limited but are still commonly referred to simply as Governors.
All Governors are volunteers who receive no remuneration for serving on the Board and its Standing Committees.
Governors are expected to serve for an initial minimum period of 5 years and appointments may be renewed for further 5-year terms subject to satisfactory performance and commitment.
The Governors have a legal duty to act as trustees of the Charity and to discharge their duty in accordance with well-defined rules and principles that reflect their status as trustees.
Functions and Roles of The Governing Body
• To determine the aims and overall conduct of the school
• To set and review plans, policies and procedures that will ensure the best possible education for present and future pupils of the school
• To ensure the proper control of the school’s finances
• To ensure compliance with all legal and regulatory requirements
• To appoint the Headmaster
The Governing Body and the Headmaster
The Governing Body does not control or manage the day-to-day running of the school. That is the role of the Headmaster and his Senior Management Team. For example, decisions such as whether to admit pupils to be educated at Hymers, discipline and the appointment of his staff are vested exclusively in the Headmaster, not the Governing Body.
The Governing Body will support the Headmaster, monitor his performance and ensure that the Headmaster is implementing agreed policies and strategies, but it is important to appreciate the difference in their respective roles. In effect the Headmaster is the school’s Chief Executive.
Composition of the Governing Body
The Governing Body operates through a number of Standing Committees to which the Board delegates certain functions and responsibilities.
These Standing Committees are:
• Academic
• Property and Management
• Finance and General Purposes
• Strategic
• Health and Safety
• Complaints and Appeals
• Nominations
The Standing Committees (with the exception of “Complaints and Appeals” and “Nominations” which meet only when necessary) each meet once per term, as does the full Board.
All Governors will normally be expected to serve on at least one of the Standing Committees.
Selection of Governors
The Governing Body seeks to maintain that at all times there is an appropriate spread of skills and expertise represented on the Board in order properly to discharge effectively its legal duties and to take into account and plan for the challenges and opportunities which face the school.
The Governing Body’s constitution permits a maximum of 23 Governors in office at any one time. The Governing Body seeks to maintain a proper balance between continuity of service and the introduction of new members.
The Nominations Panel will consider applications for membership of the Board and will make recommendations to the Board in line with the skills needs at any relevant time.
The Nominations Panel, therefore, welcomes applications from individuals who believe that they can make a valuable contribution as a Governor of Hymers College.

The Nominations Panel will consider all expressions of interest in confidence. Selected applicants may then be invited to interview.
New Governors
Once appointed all new Governors will be offered, and are expected to, undertake a formal induction and training programme with the aim that they, the Governing Body and the school will all derive maximum benefit from their appointment to the Board.
